1. Introduction
▪︎ These Terms of Service outline the conditions under which Lidia Stolyarova Studio ("the Studio") provides professional retouching services. By commissioning the Studio, the Client agrees to the following terms.
2. Orders & Briefs
▪︎ The Studio provides a quotation upon receiving a project request. This quote remains valid for the project duration specified in the agreed brief, unless the brief changes.
▪︎ Changes to the brief after project start may affect pricing and delivery timeline.
▪︎ All orders must be confirmed in writing (via email) to be accepted.
▪︎ A clear, detailed brief is required before work begins. To ensure expectations are met, the brief should include project type, intended usage, file specifications (format/size/profile), image count, moodboards, detailed retouching instructions, desired style, and deadlines. The Studio is not liable for delays or dissatisfaction caused by incomplete or inaccurate information provided by the Client.
▪︎ If an NDA or other agreement is required, it must be reviewed and signed before confirming the order.
▪︎ To ensure alignment, the Studio provides the first retouched image as a style benchmark. The Client has two (2) business days from the moment the Studio sends the email to approve the style, cancel the project at no cost, or request adjustments. Up to three (3) adjustment rounds are included for this first image.
▪︎ If the Client approves this image, the project proceeds, and the cost of this image is included in the overall project fee. If the Client does not respond within this window, the project will be considered canceled at no cost to the Client; and the Studio assumes no further obligations or liability, and the reserved production dates will be released to other projects.
3. Pricing & Payment
▪︎ All pricing is agreed upon before the project begins.
▪︎ Pricing is calculated per final delivered image, not per raw file submitted.
▪︎ Payment is due upon receipt of invoice. By default, all files are released only after full payment is received.
▪︎ At the Studio’s discretion, Net 30 arrangements may be granted to established agencies or magazines, provided this is confirmed in writing before work begins. Late payments may be subject to a reasonable late fee.
▪︎ For international transactions, the Client is responsible for any fees, currency conversions, or associated costs.
▪︎ The Studio generally does not require prepayment for standard projects. However, the Studio reserves the right to request a deposit for any project at its discretion.
▪︎ When a deposit is requested, it is due immediately following the approval of the first image. Production on the remaining files will begin once the deposit is received. Unless a Net 30 arrangement is specifically agreed upon, the final balance is due in full before the delivery of final high-resolution files.
▪︎ If a Client prefers not to provide a deposit for a large project, they must sign a bilingual (English–Ukrainian) international service agreement before work begins. This ensures clarity, mutual protection, and legal coverage for both parties.
4. Turnaround & Revisions
▪︎ Turnaround times are quoted in working days (Monday–Friday) and depend on project complexity and Studio availability. Deadlines and milestones are confirmed upon booking.
▪︎ Deadlines are guaranteed only if the Studio receives all files and instructions on time. Delays caused by late file delivery or feedback from the Client will postpone the project accordingly. Revisions requested less than 24 hours before the deadline will extend delivery accordingly.
▪︎ By default, each project includes three (3) revision rounds per image. Additional rounds may be provided for complex or highly detailed images, as agreed in writing.
▪︎ All revision requests must be clear, consolidated, submitted together, and remain within the original brief. Revisions outside the agreed scope or beyond the included rounds will be billed at the Studio’s current hourly production rate.
▪︎ The Studio is committed to delivering results that meet the Client’s vision. Clear communication and structured feedback help ensure a smooth revision process.
5. Cancellation Policy
▪︎ If the Client rejects the Studio’s style for the first image within the two-day window, they may cancel the project at no cost as outlined in Section 2.
▪︎ For cancellations at any other stage, after the style has been approved, the Client agrees to pay for all work completed up to that point, based on the agreed per-image rate or project milestones. The Studio will deliver all files corresponding to completed and paid work; unfinished or unpaid files will not be delivered.
6. File Delivery
▪︎ Final images are delivered in JPEG, TIFF, or flattened PSD format, based on the brief and prior agreement.
▪︎ Layered PSD files are considered intellectual property of the Studio and are not included by default. If required, PSD delivery must be agreed upon in advance and will incur an additional fee covering file preparation and transfer of intellectual property, subject to feasibility and scope.
▪︎ The Client is responsible for providing all file format preferences, crop ratios, sizes, and color profile requirements in the initial brief. Missing specifications may result in delivery delays or additional fees for re-exports.
▪︎ The Studio is not responsible for suboptimal results due to poor image quality, heavy compression, or incorrect color space in files submitted by the Client.
▪︎ Final files will be available for download for 30 days after project completion. It is the Client’s responsibility to download and securely store the delivered files.
The Studio does not provide long-term storage beyond the 30-day download window.
7. Portfolio Usage
▪︎ Portfolio or social media usage is subject to the Client’s prior consent and will only occur after official publication, with proper credit.
▪︎ If the Client requires full confidentiality or prefers the work not be shared publicly, they must notify the Studio in writing before the project begins.
▪︎ The Studio will not share unretouched, draft, or behind-the-scenes files, and will never disclose the Client’s original materials without consent.
8. Usage & Licensing
▪︎ All retouching fees include standard, non-exclusive usage for web, social media, e-commerce, editorial, digital brand materials, and portfolio display.
▪︎ Additional licensing fees may apply for high-visibility usage, such as large-scale advertising, product packaging, resale, or exclusive use – which will be determined individually based on the project’s reach and visibility.
▪︎ If the project involves third-party commissioning – for example, through an agency, production partner, or requires full confidentiality or delivery under a different name – this must be communicated at the quoting stage, as it may affect usage terms or pricing.
9. Communication
▪︎ All project-related briefs, feedback, approvals, and revision requests must be submitted via email. Messaging apps may be used for informal communication only and do not constitute official project instructions unless confirmed by email.
10. Order Refusal Policy
The Studio may decline an order if:
▪︎ The brief is vague or incomplete
▪︎ The project is outside the Studio’s scope of work
▪︎ The images are unsuitable for professional retouching
▪︎ Unrealistic deadlines are imposed
▪︎ The Client behaves in a disrespectful or unprofessional manner
▪︎ Payment terms are violated
▪︎ Excessive revisions are requested without agreement
▪︎ The project involves ethical or legal issues (e.g., copyright violations, adult content without consent)
11. Liability, Contingencies & Copyright
▪︎ Upon full payment, the Studio transfers all rights to the retouched images to the Client, who retains all rights to the original materials. The Studio does not claim copyright ownership over submitted materials.
▪︎ The Client confirms they hold all necessary rights to the materials submitted, and that no third-party rights (including copyrights, trademarks, or moral rights) are infringed. The Studio is not liable for any legal issues related to copyright or third-party rights. The Client agrees to cover any related claims or expenses arising from such issues.
▪︎ The Studio is not liable for how the final files are used or for any resulting damages, including but not limited to: loss of data, loss of profit, publication issues, or reputational harm.
▪︎ While the Studio takes all reasonable care with submitted materials, the Client is responsible for maintaining their own backups. The Studio’s total liability is strictly limited to the amount paid for the specific project. We do not provide compensation for indirect losses – including missed publication deadlines, campaign delays, or third-party costs – regardless of circumstances.
▪︎ In the unlikely event that a service cannot be completed due to unforeseen circumstances beyond the Studio’s control, the Client will be informed promptly and offered reasonable solutions, such as adjusted deadlines, partial delivery, or referral to an alternate professional.
12. Refund Policy
▪︎ Due to the custom, digital nature of retouching services, all sales are final. Once the final high-resolution files are delivered to the Client, no refunds will be issued.
▪︎ The Client acknowledges that retouching is a subjective, artistic process. By hiring the Studio, the Client agrees that the Studio’s artistic style and technical judgment are acceptable. Dissatisfaction based on personal aesthetic preference (that does not deviate from the initial brief) does not entitle the Client to a refund.
▪︎ If the Studio is unable to complete a project for reasons beyond its control, the Client will be charged only for completed work, which will be delivered in full. Any advance payments for undelivered work will be refunded in full and constitute final settlement.
▪︎ Digital assets (such as actions, presets, or templates) are also non-refundable due to their instant-access nature.
13. Confidentiality
▪︎ All materials and communication are treated as strictly confidential and used solely for the purpose of providing retouching services. The Studio will never share or disclose Client content without prior consent.
▪︎ All projects are handled in-house or, when necessary, with the support of trusted collaborators working under the direct supervision of Lidia Stolyarova. Collaborators are bound by the same confidentiality, quality, and ethical standards outlined in this agreement. Materials are never shared outside of these controlled conditions.
14. Force Majeure
▪︎ The Studio is not responsible for delays or failure to deliver services due to circumstances beyond its control, such as natural disasters, illness, war, or internet outages.
15. TFP Projects
▪︎ TFP (Time For Print) projects are collaborative and unpaid by nature. They are subject to these Terms unless otherwise agreed in writing. The Client must credit the Studio when publishing the retouched work. Deadlines, revisions, and file delivery terms apply equally to TFP projects, respecting the Studio’s time. Usage for TFP is for portfolio and editorial purposes; any commercial or advertising use must be discussed and approved before publication. Specific expectations must be agreed upon before work begins.
